Pricing Policy & Antitrust Principles



Companies often adopt suggested retail pricing policies that are designed to preserve the image of their brand.

Recently, Maggie Sottero® adopted a retail pricing policy with suggested minimum retail prices. This policy is intended to benefit both Maggie Sottero® and its retailers in many ways, including:

· Helping to ensure that all authorized retailers have an opportunity to earn a margin that rewards their investment in their facilities, promotions, etc.

· Helping to protect retailers who invest in good customer service against “free‑riding” by discounters who do not make such investments.

· Helping to maintain the overall image of the Maggie Sottero® brand, which benefits both Maggie Sottero® and its retailers.

Maggie Sottero® firmly believes that the retail pricing policy is in the best interests of both the company and its retailers. However, because pricing policies are subject to specific legal requirements under the antitrust laws, Maggie Sottero® asks its retailers to be aware of and respect these legal principles:

1. Under the Sherman Act, it is illegal for a retailer to agree with a supplier to sell products at a retail price set by the supplier. See Dr. Miles Medical Co. V. John Park & Sons Co., 220 U.S. 373 (1911).

A. Such agreements are called “vertical price fixing” or “resale price maintenance.”

2. Suppliers are allowed to publish a list of suggested retail prices. No violation of the Sherman Act occurs if retailers “independently decide to observe specified resale prices.” United States v. Parke, Davis & Co., 362 U.S. 29, 44 (1960).

3. A supplier may stop doing business with retailers who do not adhere to its pricing policy—for example, by discounting below suggested retail prices. United States v. Colgate & Co., 250 U.S. 300 (1919).

A. But, if there is evidence of a “conscious commitment to a common scheme” among a supplier and its retailers with respect to prices, there may be an antitrust violation—or at least a risk of expensive litigation. See Monsanto v. Spray-Rite Service Corp., 465 U.S. 752 (1972).

4. In some cases, courts have pointed to the fact that a supplier received complaints from its retailers about other sellers’ discount prices as evidence of an illegal price fixing agreement that may constitute an antitrust violation.

For these reasons, Maggie Sottero® asks that you not submit complaints about discounters and that you not call with pricing questions. Guided by its new Authorized Retailer Program & Policy Statement, Maggie Sottero® will make appropriate decisions about which retailers it will continue to do business with in the future.

This is the reason why Maggie Sottero in a defendant in MANY lawsuits throughout the country taken by many state attorney generals. This is the kind of lawsuit can can make or break a company.

Maggie Sotero is only citing cases to back up their statements but they have failed to list many other cases including some very important case from the US Supreme courts that will be used against them in the many lawsuits that they are involved in. So calling me names just shows your lack of maturity and intellegence regarding matters that you know very little about.

Actually I have and sell the line in my shops - many, many fellow business owners of mine have lost the line all over the world for tactics used that were against Maggie`s Policy. Maturity, I don`t think so. This is my last posting, whatever you do, is your business, but don`t tell every person a different price for this dress the way you have been Nikki, as this is bad business, and don`t try to teach me about this industry and policies, I know how they work, how they have worked and what is happening with this company. It`ll be a blessing for all of the companies that legally post here when you loose the line and finally get stopped. Good Day.

For your info, Maggie Sottero and other designers took to court and lost to BRIDESAVE.com on this policy. As long as they adhere to their minimum purchases as described in their ploicies, THEY CAN NOT dictact pricing becasue it becomes under the "colusion" and very close to price fixing! Just look at what happen to WALMART!!
